We refer to the Company’s announcements dated 5 March 2016, 18 March 2016, 11 April 2016, 12 April 2016, 23 May 2016, 24 May 2016, 26 May 2016, 20 June 2016, 4 July 2016, 19 July 2016, 24 August 2016, 5 September 2016, 21 September 2016 and 7 October 2016 in relation to the Proposals (“Announcements”). Unless otherwise stated, all abbreviations used herein shall have the same meanings as those used in the Announcements.

On behalf of the Board, HLIB and Maybank IB wish to announce that Bursa Securities had, vide its letter dated 12 October 2016, approved the listing and quotation of up to 305,084,746 new  Reach Energy Shares to be issued pursuant to the Proposed Placement, subject to, among others, the following conditions:

1. the Proposed Placement to be implemented only after the completion of the Proposed Acquisition;
2. Reach Energy, HLIB and Maybank IB must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Placement;
3. Reach Energy, HLIB and Maybank IB to inform Bursa Securities upon the completion of the Proposed Placement;
4. Reach Energy to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders approving the Proposals prior to the listing and quotation of the Placement Shares; and
5. Reach Energy to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Placement is completed.
